• Make timely payments for services rendered according to agreed payment schedules.
• Refrain from engaging in any activities that could harm, disrupt, or mislead our business or services.

4. Fees and Payment

• Fee Structure: Fees for our Services will be due at time of service unless otherwise outlined in the engagement agreement signed between Southern Elite Enterprises LLC and the client.
• Invoices: All invoices are payable upon receipt unless otherwise specified in the engagement agreement.
• Late Payments: Late payments may incur interest or penalties as outlined in the engagement agreement. We reserve the right to suspend or terminate our Services in the event of non-payment.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement, including but not limited to financial data, strategic plans, and other sensitive business information. This confidentiality obligation will remain in effect even after the termination of our Services.

6. Intellectual Property

All intellectual property, including but not limited to methodologies, techniques, and tools used by Southern Elite Enterprises LLC during the provision of Services, remains our exclusive property. The client may not reproduce, distribute, or use any such intellectual property for purposes outside the scope of the consulting engagement without our prior written consent.

7. Limitation of Liability

Southern Elite Enterprises LLC shall not be held liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our Services, even if we have been advised of the possibility of such damages. Our liability to you, whether in contract, tort, or otherwise, shall not exceed the total amount of fees paid by you for the Services.

8. Disclaimers

• No Guarantee of Results: While we strive to provide expert business management and consulting services, we cannot guarantee any specific outcomes or results.
• Third-Party Information: Any information or recommendations provided by third parties during the course of our Services are for reference purposes only. We do not endorse or guarantee the accuracy of third-party data.

9. Termination

We reserve the right to terminate or suspend our Services at any time, with or without cause, and with or without notice. Upon termination, all outstanding fees for Services rendered up to the date of termination will become immediately due and payable.

10. Force Majeure

Southern Elite Enterprises LLC shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure arises from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, labor disputes, or disruptions in telecommunications or internet services.

11. Governing Law and Dispute Resolution

• Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the state of Louisiana.
• Dispute Resolution: Any disputes arising from or related to these Terms or our Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Lafayette, Louisiana, and the decision of the arbitrator will be final and binding.
• 12. Indemnification
• You agree to indemnify, defend, and hold Southern Elite Enterprises LLC harmless from any claims, liabilities, damages, or expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Services, or any infringement of third-party rights.

13. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

14. Entire Agreement

These Terms and Conditions, along with any engagement agreement or related documentation, constitute the entire agreement between you and Southern Elite Enterprises LLC concerning the Services and supersede all prior agreements or understandings, whether written or oral.
